Course Outline

Day 1: Introduction to Contract Law and Legal Frameworks

Objectives:
• Understand the sources of South African contract law.
• Identify the essential elements of a valid contract.
• Differentiate between types of contracts and their applications.
• Recognise the role of legislation in contract drafting.

Topics:
• Overview of South African legal system and contract law sources
• Essential elements: offer, acceptance, consideration, capacity, legality, intention
• Types of contracts: written, oral, express, implied
• Key legislation: Consumer Protection Act, National Credit Act, etc.
• Ethical considerations in contract drafting

Day 2: Structure and Language of Legal Agreements

Objectives:
• Identify the standard parts of a legal agreement.
• Use clear and precise language in drafting.
• Avoid common drafting errors and ambiguities.
• Apply plain language principles to legal writing.

Topics:
• Anatomy of a contract: parties, recitals, definitions, operative clauses, boilerplate
• Drafting clear definitions and interpretation clauses
• Avoiding legalese and using plain language
• Common pitfalls: ambiguity, inconsistency, omission
• Use of headings, numbering, and formatting

Day 3: Essential Clauses and Their Drafting

Objectives:
• Draft key operative clauses such as payment, delivery, and warranties.
• Understand and draft limitation of liability and indemnity clauses.
• Include appropriate dispute resolution mechanisms.
• Draft termination and breach clauses effectively.

Topics:
• Payment terms, delivery, and performance obligations
• Warranties and representations
• Limitation of liability, indemnities, and insurance requirements
• Dispute resolution: negotiation, mediation, arbitration, litigation
• Breach, termination, and force majeure clauses
• Confidentiality and non-disclosure agreements

Day 4: Drafting for Specific Contexts: Sales, Services, and Employment

Objectives:
• Draft a simple sale of goods agreement.
• Draft a service level agreement (SLA) with key performance indicators.
• Understand and draft basic employment contract terms.
• Tailor contracts to industry-specific requirements.

• Sale of goods: conditions, warranties, risk, and title
• Service agreements: scope, deliverables, SLAs, and KPIs
• Employment contracts: duties, remuneration, leave, termination
• Independent contractor agreements vs. employment
• Agency and distribution agreements

Day 5: Advanced Clauses: Intellectual Property, Data Protection, and Non-Compete

Objectives:
• Draft intellectual property ownership and licensing clauses.
• Incorporate data protection and POPIA compliance into contracts.
• Draft non-disclosure, non-compete, and non-solicitation clauses.
• Understand enforceability and reasonableness of restrictive covenants.

• IP ownership, assignment, and licensing
• Data protection clauses under POPIA
• Non-disclosure agreements (NDAs)
• Non-compete and non-solicitation clauses
• Reasonableness and enforceability of restrictive covenants
• Indemnities for IP infringement

Day 6: Reviewing, Negotiating, and Finalising Contracts

Objectives:
• Conduct a systematic review of a draft contract.
• Identify risks and propose amendments.
• Understand negotiation strategies and techniques.
• Finalise contracts with proper execution formalities.

• Contract review checklist and redlining
• Risk identification and mitigation
• Negotiation tactics: positions, interests, BATNA
• Execution formalities: signatures, witnesses, electronic signatures
• Contract management and post-execution obligations

Day 7: Practical Integration and Capstone Exercise

Objectives:
• Integrate learning into a comprehensive drafting exercise.
• Draft a complete contract from a case study scenario.
• Peer review and provide constructive feedback.
• Present and defend drafting choices.

• Capstone case study: drafting a multi-clause agreement

Practicals

24 hours of practicals To be conducted online or on-campus or in-house
Overview

The practicals component provides hands-on experience in drafting, reviewing, and negotiating contracts. Learners apply theoretical knowledge to realistic scenarios, developing skills in clause drafting, contract analysis, and collaborative negotiation.

Practical Activities
  • Clause Drafting Workshop — Learners draft essential clauses (payment, warranties, indemnities) for given scenarios, then peer-review and refine. (6h)
  • Contract Review and Redlining Exercise — Learners review a flawed contract, mark up issues, and propose amendments to mitigate risks. (6h)
  • Negotiation Simulation — In pairs, learners negotiate key terms of a contract (e.g., price, liability cap) and draft agreed clauses. (6h)
  • Capstone Drafting Project — Learners draft a complete contract from a case study, incorporating all key clauses, then present and defend their draft. (6h)

Summatives

Each delegate is assessed continuously throughout the course via daily exercises, scored practical assignments, and a final summative test at the end.

Practical Assignments — 30%

Practical assignments are observed and scored against a rubric during the practical sessions. Each delegate's practical mark is averaged into a single 100% score and contributes 30% to the final total.

Daily Exercises — 20%

Every training day ends with a multiple-choice exercise scored out of 100%. The scores from each daily exercise are averaged across the duration of the course to produce a Daily Average mark, which contributes 20% to the final total.

Final Test — 50%

On the last day a final summative test is written. It is a multiple-choice paper with multiple-answer questions: each question may have more than one correct option, and a single wrong selection on a question marks the entire question wrong — no partial credit. The final test is scored out of 100% and contributes 50% to the overall mark.

Certificate

Certificate of Completion

Awarded to delegates who achieve an overall mark of 50% or higher on the Final Total (Practicals 30% + Daily Average 20% + Final Test 50%).
