Course Outline

Day 1: Introduction to International Trade Contracts

Objectives:
• Understand the importance of international trade contracts in global commerce
• Identify key elements of a valid contract
• Explain the role of trade terms and Incoterms
• Recognise the legal framework governing international contracts
• Outline the course structure and assessment criteria

• Overview of international trade and contracts
• Essential elements of a contract: offer, acceptance, consideration
• Introduction to Incoterms 2020
• Sources of law: CISG, national laws, and trade usages
• Types of international trade contracts: sale, agency, distribution

Day 2: Legal Principles and Contract Formation

Objectives:
• Analyse the legal principles underpinning international contracts
• Apply rules of offer and acceptance in cross-border contexts
• Evaluate the impact of different legal systems on contract formation
• Draft a simple international sale contract
• Identify common pitfalls in contract formation

Topics:
• Offer and acceptance in international trade
• Consideration and intention to create legal relations
• Capacity and legality of purpose
• Formal requirements: writing, signatures, electronic contracts
• Case studies on contract formation disputes

Day 3: Key Contract Clauses and Terms

Objectives:
• Identify and draft essential contract clauses
• Understand payment terms, delivery, and risk transfer
• Explain warranty, indemnity, and limitation of liability clauses
• Apply force majeure and hardship clauses
• Analyse sample contracts for completeness

• Price, payment, and currency clauses

• Warranties, representations, and indemnities
• Force majeure, hardship, and termination clauses

Day 4: Risk Management and Dispute Resolution

Objectives:
• Identify risks in international contracts and mitigation strategies
• Understand dispute resolution mechanisms: litigation, arbitration, mediation
• Draft arbitration and choice of law clauses
• Evaluate the role of international arbitration institutions
• Apply risk management frameworks to real scenarios

• Mitigation through contract design and insurance
• Dispute resolution options: courts vs. arbitration
• Key arbitration rules: ICC, UNCITRAL, LCIA
• Enforceability of awards under the New York Convention

Day 5: Performance, Breach, and Remedies

Objectives:
• Describe obligations of seller and buyer under CISG
• Identify breaches and available remedies
• Calculate damages and apply mitigation principles
• Understand specific performance and avoidance
• Analyse case studies on breach scenarios

Topics:
• Seller's obligations: delivery, documents, conformity
• Buyer's obligations: payment, inspection, acceptance
• Types of breach: fundamental, anticipatory, non-conformity
• Remedies: damages, specific performance, price reduction
• Avoidance of contract and restitution

Day 6: Specialised Contracts and Cross-Cultural Considerations

Objectives:
• Distinguish between different specialised trade contracts
• Understand agency, distribution, and franchise agreements
• Apply cultural awareness in contract negotiation
• Address language and translation issues
• Draft a simple agency agreement

• Agency and distribution agreements
• Franchise and licensing contracts
• Joint ventures and consortium agreements
• Cross-cultural negotiation styles and ethics
• Language, governing law, and translation clauses

Day 7: Practical Integration and Assessment

Objectives:
• Synthesise all course content into a comprehensive contract
• Demonstrate ability to advise clients on contract terms
• Complete a case study analysis and presentation
• Prepare for unit standard assessment
• Receive feedback and final evaluation

• Review of key concepts and common errors
• Group exercise: drafting a complete international sale contract
• Case study: advising a client on contract risks
• Mock assessment and feedback session
• Course evaluation and certification process

This course is made up of exercises and case studies delivered alongside the theory — no separate practical sessions are required to complete it.

Summatives

Each delegate is assessed continuously throughout the course and a final summative test at the end.

Daily Exercises — 30%

Every training day ends with a multiple-choice exercise scored out of 100%. The scores from each daily exercise are averaged across the duration of the course to produce a Daily Average mark, which contributes 30% to the final total.

Final Test — 70%

On the last day a final summative test is written. It is a multiple-choice paper with multiple-answer questions: each question may have more than one correct option, and a single wrong selection on a question marks the entire question wrong — no partial credit. The final test is scored out of 100% and contributes 70% to the overall mark.

Certificate

Certificate of Completion

Awarded to delegates who achieve an overall mark of 50% or higher on the Final Total (Daily Average 30% + Final Test 70%).
