Description

This course equips board members of Social Housing Institutions (SHIs) with the knowledge and skills to effectively fulfil their governance roles, responsibilities, and functions. Participants will gain a comprehensive understanding of legislative frameworks, fiduciary duties, and strategic oversight required to ensure compliance and sustainable service delivery in the social housing sector.

Target Audience

Current and prospective board members of Social Housing Institutions registered under the Social Housing Act, as well as senior management and governance officers involved in SHI oversight in South Africa.

Prerequisites

None — open enrollment. However, participants should be serving or nominated to serve on an SHI board.

Course Outline

Day 1: Introduction to Social Housing and the Role of the Board

Objectives:
• Understand the social housing landscape in South Africa
• Identify the legal and regulatory framework governing social housing institutions
• Distinguish the roles and responsibilities of the board from management
• Recognise the importance of governance in social housing

Topics:
• Overview of social housing in South Africa
• Key legislation: Social Housing Act, Companies Act, PFMA
• The social housing institution's structure and stakeholders
• Board vs. management: delineation of duties
• Principles of good governance in social housing

Day 2: Board Composition, Appointment, and Induction

Objectives:
• Understand board composition requirements and diversity
• Outline the process for board member appointment and induction
• Identify key competencies required for board effectiveness
• Explain the role of the chairperson and board committees

Topics:
• Board size, skills matrix, and diversity considerations
• Nomination, appointment, and election processes
• Induction programmes and ongoing development
• Role of the chairperson: leadership and ethics
• Board committees: audit, risk, social and ethics, etc.

Day 3: Strategic Leadership and Oversight

Objectives:
• Describe the board's role in strategic planning and direction
• Understand financial oversight and fiduciary duties
• Apply risk management frameworks to social housing
• Monitor organisational performance using KPIs

Topics:
• Strategic planning process and board involvement
• Financial oversight: budgeting, financial statements, and audits
• Fiduciary duties: duty of care, loyalty, and good faith
• Risk management: identification, assessment, and mitigation
• Performance monitoring: balanced scorecards and reporting

Day 4: Compliance, Ethics, and Stakeholder Engagement

Objectives:
• Ensure compliance with regulatory and funding requirements
• Promote ethical conduct and manage conflicts of interest
• Engage effectively with tenants, funders, and communities
• Understand the board's role in social audit and accountability

Topics:
• Regulatory compliance: SHRA, SARS, CIPC
• Code of conduct and ethics management
• Conflict of interest policies and declarations
• Stakeholder engagement strategies
• Social audits and accountability mechanisms

Day 5: Board Effectiveness, Evaluation, and Continuous Improvement

Objectives:
• Evaluate board performance and individual contributions
• Develop board improvement plans
• Integrate learning through case studies and practical scenarios
• Create an action plan for applying knowledge in own institution

Topics:
• Board self-assessment and peer review processes
• Continuous professional development for board members
• Case studies: successes and failures in social housing boards
• Practical workshop: developing a board charter and code of conduct
• Personal action plans and commitment to governance excellence

This course is made up of exercises and case studies delivered alongside the theory — no separate practical sessions are required to complete it.

Summatives

Each delegate is assessed continuously throughout the course and a final summative test at the end.

Daily Exercises — 30%

Every training day ends with a multiple-choice exercise scored out of 100%. The scores from each daily exercise are averaged across the duration of the course to produce a Daily Average mark, which contributes 30% to the final total.

Final Test — 70%

On the last day a final summative test is written. It is a multiple-choice paper with multiple-answer questions: each question may have more than one correct option, and a single wrong selection on a question marks the entire question wrong — no partial credit. The final test is scored out of 100% and contributes 70% to the overall mark.

All marks are recorded on the AATICD LMS and visible to each learner under their account.

Certificate

Certificate of Completion

Awarded to delegates who achieve an overall mark of 50% or higher on the Final Total (Daily Average 30% + Final Test 70%).
