Day 1: Foundations of International Sales Contracts

Objectives:

• Recognise the role of the United Nations Convention on Contracts for the International Sale of Goods (CISG).
• Define essential terms and concepts in international trade.

• Sources of law: CISG, Incoterms, national laws.
• Key players: buyers, sellers, intermediaries.
• Basic contract structure: offer, acceptance, consideration.
• Distinction between domestic and cross-border transactions.
• Introduction to risk and title transfer.
• Common pitfalls in international contracting.

Day 2: Pre-Contractual Considerations and Due Diligence

Objectives:
• Conduct effective due diligence on potential trading partners.
• Analyse market conditions and cultural factors affecting negotiations.
• Evaluate creditworthiness and legal capacity of parties.
• Identify red flags and fraud indicators.

Topics:
• Due diligence: financial, legal, and reputational checks.
• Cultural dimensions in international negotiation.
• Assessing political and economic risks.
• Confidentiality agreements and preliminary documents.
• Letters of intent and memoranda of understanding.
• Anti-bribery and corruption compliance.

Day 3: Key Contract Clauses – Price, Payment, and Delivery

Objectives:
• Draft clear price and payment terms using Incoterms.
• Understand different payment methods: L/C, open account, documentary collections.
• Specify delivery obligations and risk of loss.
• Manage currency fluctuations and payment security.

• Incoterms 2020: EXW, FOB, CIF, DDP, and others.
• Pricing mechanisms: fixed, variable, index-based.
• Payment terms: letters of credit, standby L/Cs, guarantees.
• Documentary requirements: invoices, packing lists, certificates.
• Risk of loss and insurance.

Day 4: Quality, Warranties, and Intellectual Property

Objectives:
• Define quality standards and inspection procedures.
• Draft warranty clauses and limitation of liability.
• Protect intellectual property rights in cross-border sales.
• Address non-conforming goods and remedies.

• Quality specifications: standards, samples, descriptions.
• Inspection rights and certificates.
• Warranty terms: express, implied, duration.
• Limitation of liability and exclusion of consequential damages.
• Intellectual property: patents, trademarks, copyrights.

Day 5: Dispute Resolution and Governing Law

• Draft arbitration clauses and mediation provisions.
• Manage cross-border enforcement of judgments and awards.

• Choice of law clauses and CISG opt-out.

• Arbitration: institutional vs ad hoc, UNCITRAL rules.
• Mediation and alternative dispute resolution.

Day 6: Negotiation Strategies and Communication Skills

Objectives:
• Apply effective negotiation techniques in international contexts.
• Build rapport and manage cross-cultural communication.
• Use BATNA, ZOPA, and other negotiation tools.
• Handle difficult tactics and deadlocks.

Topics:
• Negotiation styles: competitive, collaborative, principled.
• Preparing a negotiation strategy: interests, positions, options.
• Cultural intelligence: high-context vs low-context cultures.
• Verbal and non-verbal communication.
• Dealing with power imbalances.
• Concessions and trade-offs.
• Closing the deal and post-negotiation follow-up.

Day 7: Contract Drafting, Review, and Practical Integration

Objectives:
• Draft a complete international sales contract from scratch.
• Review and redline a sample contract for risk areas.
• Integrate all clauses into a cohesive document.
• Present and defend contract terms in a simulated negotiation.

• Step-by-step contract drafting exercise.
• Common drafting errors and how to avoid them.
• Reviewing contracts: checklist approach.
• Negotiation simulation: buyer-seller role play.
• Final contract execution and management.
• Post-award contract administration.

Practicals

Overview

Practicals are essential to apply theoretical knowledge to real-world scenarios. Learners engage in simulated negotiations, draft contracts, and review case studies to build hands-on skills in international sales contract negotiation.

Practical Activities
  • Due Diligence Simulation — Learners conduct due diligence on a fictional foreign company using provided data, identifying risks and drafting a preliminary report. (4h)
  • Contract Clause Drafting Exercise — Learners draft key clauses (price, payment, delivery, warranty) for a given product and country pair, then peer-review each other's work. (6h)
  • Negotiation Role Play — In pairs, learners negotiate a complete sales contract with a buyer/seller scenario, applying strategies and closing the deal. (8h)
  • Contract Review and Redlining — Learners review a flawed international sales contract, identify risks, and propose amendments using track changes. (4h)
  • Full Contract Drafting and Presentation — Learners integrate all clauses into a final contract document and present key terms to the class for feedback. (2h)

Summatives

Each delegate is assessed continuously throughout the course via daily exercises, scored practical assignments, and a final summative test at the end.

Practical Assignments — 30%

Practical assignments are observed and scored against a rubric during the practical sessions. Each delegate's practical mark is averaged into a single 100% score and contributes 30% to the final total.

Daily Exercises — 20%

Every training day ends with a multiple-choice exercise scored out of 100%. The scores from each daily exercise are averaged across the duration of the course to produce a Daily Average mark, which contributes 20% to the final total.

Final Test — 50%

On the last day a final summative test is written. It is a multiple-choice paper with multiple-answer questions: each question may have more than one correct option, and a single wrong selection on a question marks the entire question wrong — no partial credit. The final test is scored out of 100% and contributes 50% to the overall mark.

Certificate of Completion

Awarded to delegates who achieve an overall mark of 50% or higher on the Final Total (Practicals 30% + Daily Average 20% + Final Test 50%).
