Course Outline

Day 1: Introduction to Corporate Governance and Directors' Roles

Objectives:
• Understand the concept of corporate governance and its importance
• Identify the key roles and responsibilities of directors
• Recognise the legal and regulatory framework governing directors in South Africa
• Distinguish between different types of directors (executive, non-executive, independent)
• Appreciate the consequences of poor governance

• Definition and principles of corporate governance
• The King IV Report and its application
• The Companies Act 71 of 2008: directors' duties
• Fiduciary duties and the duty of care, skill, and diligence
• Types of directors and their appointment
• Consequences of breach of duties

Day 2: Legal Framework and Directors' Duties

Objectives:
• Analyse the statutory duties of directors under the Companies Act
• Understand the business judgment rule
• Identify personal liability risks for directors
• Recognise the role of the board versus management
• Examine case law on directors' duties

Topics:
• Section 76: Standards of directors' conduct
• Section 77: Liability of directors and prescribed officers
• The business judgment rule (Section 76(4))
• Indemnification and directors' insurance
• Case studies on breach of duty
• Board composition and independence

Day 3: Board Structures and Committees

Objectives:
• Describe the structure of an effective board
• Understand the role and functions of board committees
• Evaluate the audit, risk, remuneration, and nomination committees
• Discuss board evaluation and performance
• Recognise the importance of board diversity

• Board size, composition, and balance
• Chairperson and lead independent director roles

Day 4: Strategy, Risk, and Performance Oversight

• Understand the board's role in strategy formulation
• Identify key risk management frameworks
• Learn how to oversee performance and sustainability
• Apply integrated reporting principles
• Discuss stakeholder engagement

• Strategy setting and monitoring
• Enterprise risk management (ERM) frameworks

Day 5: Ethics, Governance, and Social Responsibility

Objectives:
• Understand ethical leadership and governance
• Identify corporate social responsibility (CSR) expectations
• Recognise the importance of ethical culture
• Discuss whistle-blowing and protection
• Apply ethical decision-making models

Day 6: Financial Oversight and Compliance

Day 7: Practical Integration and Board Simulation

Objectives:
• Integrate all governance knowledge into a simulated board meeting
• Practice decision-making under legal and ethical constraints
• Develop a governance improvement plan
• Reflect on personal director competencies
• Prepare for real-world application

This course is made up of exercises and case studies delivered alongside the theory — no separate practical sessions are required to complete it.

Summatives

Each delegate is assessed continuously throughout the course and a final summative test at the end.

Daily Exercises — 30%

Every training day ends with a multiple-choice exercise scored out of 100%. The scores from each daily exercise are averaged across the duration of the course to produce a Daily Average mark, which contributes 30% to the final total.

Final Test — 70%

On the last day a final summative test is written. It is a multiple-choice paper with multiple-answer questions: each question may have more than one correct option, and a single wrong selection on a question marks the entire question wrong — no partial credit. The final test is scored out of 100% and contributes 70% to the overall mark.

Certificate

Certificate of Completion

Awarded to delegates who achieve an overall mark of 50% or higher on the Final Total (Daily Average 30% + Final Test 70%).
