Day 1: Foundations of Business Appraisal and Negotiation

Objectives:
• Understand the purpose and principles of business appraisal in the small enterprise context.
• Identify key factors that influence business value.
• Explain the negotiation process and its role in appraisal terms.
• Distinguish between different appraisal methodologies.

• Introduction to business appraisal: definition, importance, and applications.
• Key value drivers for small enterprises: assets, earnings, market position, and growth potential.
• Overview of appraisal methods: asset-based, income-based, and market-based approaches.
• Fundamentals of negotiation: interests, positions, BATNA, and ZOPA.
• The link between appraisal and negotiation: setting the stage for terms discussion.
• Ethical considerations and professional standards in appraisal and negotiation.

Day 2: Appraisal Methodologies and Valuation Techniques

Objectives:
• Apply asset-based valuation methods to small enterprises.
• Calculate business value using income-based approaches (e.g., DCF, capitalization of earnings).
• Use market comparables to estimate value.
• Adjust valuations for risk, growth, and intangible assets.

Topics:
• Asset-based valuation: book value, adjusted net asset method, and liquidation value.
• Income-based valuation: discounted cash flow (DCF) and capitalization of earnings.
• Market-based valuation: comparable company analysis and precedent transactions.
• Adjustments for risk: discount rates, risk premiums, and size adjustments.
• Valuing intangible assets: goodwill, intellectual property, and customer relationships.
• Practical exercises: valuing a sample small business using multiple methods.
• Reconciling different valuation results to arrive at a defensible range.

Day 3: Negotiation Strategies and Tactics for Appraisal Terms

Objectives:
• Develop negotiation strategies tailored to appraisal discussions.
• Apply effective communication and persuasion techniques.
• Manage concessions, deadlocks, and difficult situations.
• Draft and evaluate appraisal terms based on negotiation outcomes.

• Preparing for negotiation: setting objectives, gathering information, and building leverage.
• Key negotiation tactics: anchoring, framing, and reciprocity.
• Handling objections and emotional responses.
• Negotiating specific appraisal terms: valuation method, date of valuation, assumptions, and adjustments.
• Role-play exercises: negotiating appraisal terms between buyer and seller.
• Documenting agreed terms: clauses, conditions, and dispute resolution mechanisms.
• Legal and regulatory considerations in South Africa (e.g., Companies Act, tax implications).

Day 4: Integration, Application, and Assessment

Objectives:
• Integrate appraisal and negotiation skills in a comprehensive case study.
• Present and defend a negotiated appraisal outcome.
• Evaluate the effectiveness of different negotiation approaches.
• Prepare a final report summarizing appraisal terms and negotiation process.

• Full case study: appraising a small enterprise and negotiating terms.
• Group work: developing negotiation plans and conducting simulated negotiations.
• Presentation of outcomes: each group presents their negotiated terms and rationale.
• Peer and facilitator feedback on negotiation performance.

This course is made up of exercises and case studies delivered alongside the theory — no separate practical sessions are required to complete it.

Summatives

Each delegate is assessed continuously throughout the course and a final summative test at the end.

Daily Exercises — 30%

Every training day ends with a multiple-choice exercise scored out of 100%. The scores from each daily exercise are averaged across the duration of the course to produce a Daily Average mark, which contributes 30% to the final total.

Final Test — 70%

On the last day a final summative test is written. It is a multiple-choice paper with multiple-answer questions: each question may have more than one correct option, and a single wrong selection on a question marks the entire question wrong — no partial credit. The final test is scored out of 100% and contributes 70% to the overall mark.

Certificate

Certificate of Completion

Awarded to delegates who achieve an overall mark of 50% or higher on the Final Total (Daily Average 30% + Final Test 70%).
