Course Outline

Day 1: Foundations of Insurance and Reinsurance Law

Objectives:
• Understand the legal framework governing insurance and reinsurance.
• Differentiate between direct insurance and reinsurance contracts.
• Identify key regulatory bodies and their roles in South Africa and internationally.
• Explain the principles of utmost good faith and insurable interest.

• Overview of insurance and reinsurance markets
• Sources of insurance law: common law, statute, and regulation
• Key legislation: Insurance Act, 2017; Long-term and Short-term Insurance Acts
• Role of the Prudential Authority and Financial Sector Conduct Authority
• Fundamental legal principles: indemnity, subrogation, contribution
• Distinction between proportional and non-proportional reinsurance

Day 2: Contract Formation and Key Clauses

Objectives:
• Analyse the essential elements of an insurance contract.
• Interpret standard policy wording and reinsurance treaty clauses.
• Evaluate the duty of disclosure and misrepresentation consequences.
• Apply the doctrine of privity of contract in reinsurance.

• Offer, acceptance, and consideration in insurance contracts
• Conditions, warranties, and exclusions
• The duty of utmost good faith: pre-contract and post-contract
• Misrepresentation and non-disclosure: legal remedies
• Follow-the-fortunes and follow-the-settlements clauses
• Arbitration and dispute resolution provisions

Day 3: Regulatory Compliance and Market Conduct

Objectives:
• Understand the regulatory requirements for insurers and reinsurers.
• Assess the impact of Solvency Assessment and Management (SAM) on reinsurance.
• Recognise the role of the Financial Advisory and Intermediary Services Act (FAIS).
• Identify anti-money laundering (AML) and counter-terrorism financing obligations.

• Licensing and solvency requirements under the Insurance Act
• SAM framework: capital adequacy and risk management
• Treating Customers Fairly (TCF) outcomes
• FAIS: fit and proper requirements, disclosure, and record-keeping
• AML/CFT compliance for insurers and reinsurers
• Cross-border regulatory considerations

Day 4: Reinsurance Structures and Risk Transfer Mechanisms

Objectives:
• Compare facultative and treaty reinsurance structures.
• Evaluate proportional vs non-proportional reinsurance arrangements.
• Understand the legal implications of fronting and retrocession.
• Apply risk transfer testing principles.

Topics:
• Facultative reinsurance: underwriting and documentation
• Treaty reinsurance: quota share, surplus, excess of loss, stop loss
• Fronting arrangements and regulatory concerns
• Retrocession: legal and practical aspects
• Risk transfer testing: IFRS 17 and solvency requirements
• Contract certainty and documentation best practices

Day 5: Claims, Disputes, and Emerging Issues

Objectives:
• Manage claims handling and loss adjustment in a legal context.
• Understand the role of arbitration and litigation in reinsurance disputes.
• Analyse emerging legal issues: climate risk, cyber insurance, and pandemics.
• Integrate legal principles into practical risk management strategies.

• Claims notification, documentation, and adjustment
• Subrogation and recovery rights
• Arbitration clauses and enforcement of awards
• Recent case law in reinsurance disputes
• Regulatory developments: climate risk disclosure and ESG
• Cyber insurance and reinsurance: legal challenges
• Pandemic exclusions and business interruption disputes

This course is made up of exercises and case studies delivered alongside the theory — no separate practical sessions are required to complete it.

Summatives

Each delegate is assessed continuously throughout the course and a final summative test at the end.

Daily Exercises — 30%

Every training day ends with a multiple-choice exercise scored out of 100%. The scores from each daily exercise are averaged across the duration of the course to produce a Daily Average mark, which contributes 30% to the final total.

Final Test — 70%

On the last day a final summative test is written. It is a multiple-choice paper with multiple-answer questions: each question may have more than one correct option, and a single wrong selection on a question marks the entire question wrong — no partial credit. The final test is scored out of 100% and contributes 70% to the overall mark.

Certificate

Certificate of Completion

Awarded to delegates who achieve an overall mark of 50% or higher on the Final Total (Daily Average 30% + Final Test 70%).
