Course Outline

Day 1: Foundations of Energy Contracts and Commercial Frameworks

Objectives:
• Understand the structure and key components of energy contracts
• Identify the regulatory and market context for energy trading in South Africa
• Analyse risk allocation and key commercial clauses
• Evaluate pricing mechanisms and payment terms
• Apply contract management principles to energy agreements

Topics:
• Overview of the energy sector: generation, transmission, distribution, and supply
• Types of energy contracts: PPA, EPC, O&M, fuel supply, and trading agreements
• Key legal and regulatory frameworks: NERSA, Electricity Regulation Act, and market codes
• Contract lifecycle: negotiation, execution, performance, and close-out
• Risk allocation: force majeure, change in law, and termination rights
• Pricing structures: fixed, indexed, time-of-use, and capacity charges
• Payment mechanisms, invoicing, and credit support
• Introduction to contract management best practices

Day 2: Advanced Commercial Management and Dispute Resolution

Objectives:
• Apply advanced negotiation and contract administration techniques
• Manage variations, claims, and performance monitoring
• Understand dispute resolution mechanisms and remedies
• Integrate commercial management with operational and financial objectives
• Develop strategies for contract renewal and exit

• Negotiation strategies for energy contracts
• Contract administration: change management, variation orders, and amendments
• Performance monitoring: KPIs, SLAs, and reporting
• Managing underperformance and defaults
• Dispute resolution: negotiation, mediation, arbitration, and litigation
• Remedies and damages: liquidated damages, penalties, and termination
• Contract close-out: final accounts, warranties, and lessons learned
• Case studies and emerging trends in energy contract management

Practicals

Overview

The practicals provide hands-on experience in drafting, negotiating, and managing energy contracts. Learners will work through realistic scenarios to apply contract clauses, assess risks, and resolve commercial disputes.

Practical Activities
  • Practical 1: Contract Clause Review and Risk Identification — Learners review a sample PPA and identify key clauses, risks, and ambiguities, then present their findings. (2h)
  • Practical 2: Negotiation Simulation — Learners participate in a simulated negotiation of energy contract terms, representing buyer and seller roles. (2h)
  • Practical 3: Dispute Resolution Case Study — Learners analyze a case study of a contractual dispute and recommend a resolution pathway, including drafting a settlement proposal. (2h)

Summatives

Each delegate is assessed continuously throughout the course via daily exercises, scored practical assignments, and a final summative test at the end.

Practical Assignments — 30%

Practical assignments are observed and scored against a rubric during the practical sessions. Each delegate's practical mark is averaged into a single 100% score and contributes 30% to the final total.

Daily Exercises — 20%

Every training day ends with a multiple-choice exercise scored out of 100%. The scores from each daily exercise are averaged across the duration of the course to produce a Daily Average mark, which contributes 20% to the final total.

Final Test — 50%

On the last day a final summative test is written. It is a multiple-choice paper with multiple-answer questions: each question may have more than one correct option, and a single wrong selection on a question marks the entire question wrong — no partial credit. The final test is scored out of 100% and contributes 50% to the overall mark.

Certificate

Certificate of Completion

Awarded to delegates who achieve an overall mark of 50% or higher on the Final Total (Practicals 30% + Daily Average 20% + Final Test 50%).

  • Each certificate is a branded PDF with the delegate's name, the course title, the unit standard ID, NQF level, credits, and the date of issue.

  • If you scored under 50% you can sit the final test again at the next scheduled session at no extra cost.
