Course Outline

Day 1: Introduction to Contract Management

Objectives:
• Understand the legal framework of contracts in South Africa
• Identify key elements of a valid contract
• Differentiate between types of contracts
• Recognise the role of a contract manager

• Definition and importance of contract management
• Sources of contract law (common law, legislation, etc.)
• Essential elements of a valid contract
• Classification of contracts (written, oral, express, implied)
• Contract lifecycle overview
• Roles and responsibilities of contract parties
• Ethics and confidentiality in contract management

Day 2: Contract Formation and Negotiation

Objectives:
• Outline the steps in contract formation
• Apply negotiation techniques to contract terms
• Draft clear and enforceable contract clauses
• Evaluate terms and conditions for risk

• Offer, acceptance, and consideration
• Capacity and legality
• Standard clauses (payment, delivery, warranties, indemnities)
• Negotiation strategies and tactics
• Drafting clear and unambiguous language
• Identifying and mitigating common risks
• Pre-contractual documents (letters of intent, MOUs)

Day 3: Contract Administration and Performance Monitoring

Objectives:
• Set up contract administration systems
• Monitor performance against contractual obligations
• Manage variations and amendments
• Document and communicate contract changes

• Key performance indicators (KPIs) and service level agreements (SLAs)
• Monitoring tools and reporting

Day 4: Managing Contractual Risks and Disputes

• Identify common contractual risks
• Apply risk mitigation strategies
• Understand dispute resolution mechanisms
• Handle breaches and termination

• Breach of contract: types and remedies
• Dispute resolution methods (negotiation, mediation, arbitration, litigation)

Day 5: Advanced Topics and Practical Integration

Objectives:
• Analyse complex contract scenarios
• Apply contract management principles to real-world cases
• Develop a contract management plan
• Evaluate best practices in contract management

• Public sector procurement and PPP contracts
• Electronic contracts and digital signatures
• Contract management software and tools
• Performance evaluation and contract close-out

Overview

Practical sessions allow learners to apply contract management concepts through simulated negotiations, drafting exercises, and case study analyses. These hands-on activities reinforce theoretical knowledge and develop skills in contract formation, risk assessment, and dispute resolution.

Practical Activities
  • Contract Drafting Exercise — Learners draft a simple service contract using a template, incorporating key clauses and negotiating terms in pairs. (4h)
  • Negotiation Role-Play — Learners participate in a simulated negotiation scenario, representing buyer and seller interests to reach agreement on contract terms. (4h)
  • Risk Assessment Workshop — Using a real-world contract case study, learners identify risks, propose mitigation clauses, and present a risk management plan. (4h)
  • Dispute Resolution Simulation — Learners role-play a dispute scenario, applying negotiation and mediation techniques to resolve the conflict and draft a settlement agreement. (4h)

Summatives

Each delegate is assessed continuously throughout the course via daily exercises, scored practical assignments, and a final summative test at the end.

Practical Assignments — 30%

Practical assignments are observed and scored against a rubric during the practical sessions. Each delegate's practical mark is averaged into a single 100% score and contributes 30% to the final total.

Daily Exercises — 20%

Every training day ends with a multiple-choice exercise scored out of 100%. The scores from each daily exercise are averaged across the duration of the course to produce a Daily Average mark, which contributes 20% to the final total.

Final Test — 50%

On the last day a final summative test is written. It is a multiple-choice paper with multiple-answer questions: each question may have more than one correct option, and a single wrong selection on a question marks the entire question wrong — no partial credit. The final test is scored out of 100% and contributes 50% to the overall mark.

All marks are recorded on the AATICD LMS and visible to each learner under their account.

Certificate

Certificate of Completion

Awarded to delegates who achieve an overall mark of 50% or higher on the Final Total (Practicals 30% + Daily Average 20% + Final Test 50%).

  • Each certificate is a branded PDF with the delegate's name, the course title, the unit standard ID, NQF level, credits, and the date of issue.
  • You can download or print your certificate from your LMS dashboard at any time after issue — there's no reissue fee and no expiry date.
  • If you scored under 50% you can sit the final test again at the next scheduled session at no extra cost.
