Description

This course equips learners with the skills to evaluate, structure, and manage project finance transactions. Participants will understand the principles of project finance, including risk allocation, financial modeling, and funding mechanisms, enabling them to contribute effectively to capital-intensive projects.

Course Outline

Day 1: Introduction to Project Finance and Key Concepts

Objectives:
• Understand the definition and scope of project finance
• Identify the key features and benefits of project finance
• Differentiate project finance from corporate finance
• Recognise the role of project finance in infrastructure and development projects

Topics:
• What is project finance? Definition and characteristics
• Historical evolution and typical applications
• Key features: non-recourse/limited recourse, ring-fencing, risk allocation
• Comparison with corporate finance and other financing methods
• Advantages and disadvantages for sponsors and lenders
• Overview of project lifecycle and financing stages
• Role of project finance in South African and global contexts
• Introduction to key participants: sponsors, lenders, advisors

Day 2: Project Finance Structures and Legal Framework

Objectives:
• Describe typical project finance structures and special purpose vehicles (SPVs)
• Understand the legal and regulatory environment in South Africa
• Identify key contracts and agreements in project finance
• Analyse the role of due diligence and documentation

Topics:
• Special purpose vehicle (SPV) structure and purpose
• Equity and debt components: senior debt, mezzanine, equity
• Legal framework: SAQA, PFMA, PPP regulations, and relevant acts
• Key project agreements: EPC, O&M, off-take, concession, and supply agreements
• Security arrangements: pledges, assignments, guarantees
• Due diligence process: technical, legal, financial, environmental
• Documentation: term sheet, credit agreement, intercreditor agreement
• Regulatory approvals and compliance requirements

Day 3: Risk Analysis and Mitigation in Project Finance

Objectives:
• Identify and categorise risks in project finance
• Apply risk allocation and mitigation techniques
• Understand the role of insurance and hedging
• Evaluate risk in the context of project cash flows

Topics:
• Risk identification: construction, operational, market, financial, political, force majeure
• Risk allocation among project participants
• Mitigation strategies: contractual, structural, financial
• Insurance: types, requirements, and claims process
• Hedging: interest rate, currency, and commodity price risks
• Cash flow analysis: revenue streams, cost structures, debt service
• Sensitivity analysis and scenario planning
• Case studies of risk management in South African projects

Day 4: Financial Modelling and Valuation

Objectives:
• Build a basic project finance financial model
• Perform project valuation using discounted cash flow (DCF) methods
• Calculate key financial metrics: IRR, NPV, DSCR, LLCR
• Interpret model outputs for decision-making

Topics:
• Introduction to financial modelling principles and best practices
• Structure of a project finance model: inputs, assumptions, calculations
• Forecasting revenues, operating costs, and capital expenditures
• Debt structuring: sizing, amortisation, and reserve accounts
• Key metrics: debt service cover ratio (DSCR), loan life cover ratio (LLCR), project life cover ratio (PLCR)
• Valuation techniques: DCF, adjusted present value (APV)
• Sensitivity and scenario analysis using data tables
• Model audit and review for lender requirements

Day 5: Practical Applications, Case Studies, and Industry Trends

Objectives:
• Apply project finance concepts to real-world case studies
• Evaluate the role of project finance in renewable energy and infrastructure
• Understand current trends: green finance, PPPs, and technology
• Integrate knowledge for project finance advisory and decision-making

Topics:
• Case study 1: Renewable energy project (e.g., solar or wind IPP)
• Case study 2: Transport infrastructure (e.g., toll road or port)
• Public-Private Partnerships (PPPs): structure, procurement, and risk sharing
• Green finance and sustainability-linked loans in project finance
• Technological innovations: blockchain, smart contracts
• Refinancing and restructuring distressed projects
• Future outlook: project finance in Africa and emerging markets
• Course wrap-up and assessment

Practicals

15 hours of practicals To be conducted online or on-campus or in-house
Overview

Practical sessions provide hands-on experience in building and analyzing project finance models, conducting risk assessments, and structuring deals. Learners will work on case studies and simulated scenarios to apply theoretical concepts in a controlled environment.

Practical Activities
  • Financial Model Building Workshop — Learners build a simplified project finance model from scratch using Excel, including revenue forecasts, debt schedules, and key ratios. (6h)
  • Risk Assessment and Mitigation Exercise — Given a project scenario, learners identify key risks, allocate them to appropriate parties, and propose mitigation measures. (4h)
  • Case Study: Structuring a Renewable Energy Project — Learners work in teams to structure a solar IPP deal, including SPV setup, debt sizing, and negotiation of key terms. (5h)

Summatives

Each delegate is assessed continuously throughout the course via daily exercises, scored practical assignments, and a final summative test at the end.

Practical Assignments — 30%

Practical assignments are observed and scored against a rubric during the practical sessions. Each delegate's practical mark is averaged into a single 100% score and contributes 30% to the final total.

Daily Exercises — 20%

Every training day ends with a multiple-choice exercise scored out of 100%. The scores from each daily exercise are averaged across the duration of the course to produce a Daily Average mark, which contributes 20% to the final total.

Final Test — 50%

On the last day a final summative test is written. It is a multiple-choice paper with multiple-answer questions: each question may have more than one correct option, and a single wrong selection on a question marks the entire question wrong — no partial credit. The final test is scored out of 100% and contributes 50% to the overall mark.

Certificate

Certificate of Completion

Awarded to delegates who achieve an overall mark of 50% or higher on the Final Total (Practicals 30% + Daily Average 20% + Final Test 50%).
