This course equips learners with a comprehensive understanding of corporate governance principles and best practices, enabling them to contribute effectively to the governance framework of their organisations. Course Outline

Day 1: Foundations of Corporate Governance

Objectives:
• Define corporate governance and its importance in modern organisations.
• Identify the key principles of good governance: accountability, transparency, fairness, and responsibility.
• Understand the role of the board of directors and management in governance.
• Recognise the legal and regulatory framework for corporate governance in South Africa.
• Distinguish between governance, management, and leadership.

Topics:
• What is corporate governance? Definitions and scope.
• The King IV Report on Corporate Governance for South Africa.
• Core principles: accountability, transparency, fairness, responsibility.
• The agency theory and stakeholder theory.
• Overview of the Companies Act 71 of 2008.
• Role players: board, management, shareholders, auditors.

Day 2: The Board of Directors and Committees

Objectives:
• Describe the structure, composition, and functions of the board of directors.
• Explain the roles of board committees (audit, risk, remuneration, nomination).
• Understand director duties, fiduciary responsibilities, and liability.
• Evaluate board effectiveness and independence.
• Apply principles of ethical leadership in board conduct.

Topics:
• Board composition: executive vs. non-executive directors, independence.
• Board committees: audit, risk, remuneration, nomination, social & ethics.
• Fiduciary duties and the duty of care, skill, and diligence.
• Director liability and indemnification.
• Board evaluation and performance assessment.
• Ethical leadership and corporate culture.

Day 3: Risk Management, Internal Control, and Compliance

Objectives:
• Explain the role of risk management in corporate governance.
• Describe internal control frameworks (e.g., COSO) and their application.
• Understand the function of internal and external audit.
• Identify key compliance requirements under South African law.
• Develop a basic risk register and control matrix.

Topics:
• Enterprise risk management: identification, assessment, mitigation.
• Internal control systems: COSO, King IV requirements.
• The three lines of defence model.
• Role of internal audit and audit committee.
• External audit and auditor independence.
• Compliance: regulatory landscape, consequences of non-compliance.

Day 4: Stakeholder Engagement and Ethical Practices

Objectives:
• Identify key stakeholders and their interests in corporate governance.
• Apply principles of stakeholder inclusivity and engagement.
• Understand corporate social responsibility (CSR) and sustainability reporting.
• Recognise ethical dilemmas and apply ethical decision-making frameworks.
• Evaluate integrated reporting and disclosure practices.

Topics:
• Stakeholder theory vs. shareholder primacy.
• Stakeholder mapping and engagement strategies.
• Corporate social responsibility and sustainability.
• Integrated reporting: the framework.
• Ethical decision-making models.
• Whistleblowing and protection of whistleblowers.

Day 5: Governance Implementation and Best Practices

Objectives:
• Synthesise governance principles into a practical implementation plan.
• Develop a governance charter and committee terms of reference.
• Evaluate governance failures and lessons from case studies.
• Apply best practices for board meetings, minutes, and resolutions.
• Prepare for a governance assessment and continuous improvement.

Topics:
• Implementing governance frameworks: policies, charters, codes of conduct.
• Board meeting management: agendas, minutes, resolutions.
• Case studies: governance failures (e.g., Enron, Steinhoff).
• Governance assessment tools and maturity models.
• Continuous improvement: monitoring, reporting, and review.
• Course wrap-up and action planning.

Practicals

No practicals for this training.

This course is made up of exercises and case studies delivered alongside the theory — no separate practical sessions are required to complete it.

Summatives

Each delegate is assessed continuously throughout the course and a final summative test at the end.

Daily Exercises — 30%

Every training day ends with a multiple-choice exercise scored out of 100%. The scores from each daily exercise are averaged across the duration of the course to produce a Daily Average mark, which contributes 30% to the final total.

Final Test — 70%

On the last day a final summative test is written. It is a multiple-choice paper with multiple-answer questions: each question may have more than one correct option, and a single wrong selection on a question marks the entire question wrong — no partial credit. The final test is scored out of 100% and contributes 70% to the overall mark.

All marks are recorded on the AATICD LMS and visible to each learner under their account.

Certificate

Certificate of Completion

Awarded to delegates who achieve an overall mark of 50% or higher on the Final Total (Daily Average 30% + Final Test 70%).

  • If you scored under 50% you can sit the final test again at the next scheduled session at no extra cost.
