This advanced course equips professionals with the expertise to design, implement, and continuously improve integrated governance, risk, and compliance (GRC) frameworks. It focuses on strategic alignment, risk-based decision-making, and fostering an ethical organisational culture in line with South African regulatory requirements and international best practices.

Target Audience

This course is designed for senior managers, compliance officers, risk managers, internal auditors, and other professionals responsible for governance, risk, and compliance functions within their organisations.

Prerequisites

A foundational understanding of GRC concepts and at least three years of relevant work experience in a governance, risk, or compliance role.

Course Outline

Day 1: Foundations of GRC and the South African Regulatory Landscape

Objectives:
• Explain the integrated GRC framework and its value to organisations.
• Identify key South African regulatory bodies and legislation impacting GRC.
• Distinguish between governance, risk management, and compliance functions.
• Describe the role of the King IV Report and its application to GRC.

Topics:
• Introduction to GRC: definitions, components, and integration.
• The business case for GRC: aligning strategy, risk, and compliance.
• Overview of South African regulatory environment: FSCA, Prudential Authority, SARS, etc.
• Key legislation: Companies Act, POPIA, FICA, and sector-specific regulations.
• King IV Report: principles and practices for good governance.
• GRC roles and responsibilities: board, management, and assurance providers.
• GRC frameworks: ISO 31000, COSO, and the Three Lines of Defence.
• Case study: GRC failure and its consequences.

Day 2: Governance Principles and Board Oversight

Objectives:
• Analyse the principles of corporate governance and board responsibilities.
• Evaluate board structures, committees, and their effectiveness.
• Apply ethical leadership and corporate citizenship principles.
• Assess governance reporting and disclosure requirements.

• Corporate governance theories and models.
• Board composition, independence, and diversity.
• Board committees: audit, risk, remuneration, and social & ethics.
• Ethical leadership and the role of the social & ethics committee.
• Governance of information technology and cybersecurity.
• Stakeholder engagement and materiality.
• Governance reporting: integrated reporting and disclosure.
• Case study: Board oversight failures.

Day 3: Risk Management Frameworks and Risk Assessment

Objectives:
• Apply risk management frameworks (ISO 31000, COSO ERM) to organisational context.
• Conduct risk identification, analysis, and evaluation using various techniques.
• Develop risk treatment strategies and formulate risk appetite statements.
• Integrate risk management into strategic planning and decision-making.

Topics:
• Risk management principles and frameworks.
• Risk appetite and risk tolerance: setting and communicating.
• Risk identification techniques: workshops, checklists, and scenario analysis.
• Risk analysis: qualitative and quantitative methods.
• Risk evaluation and prioritisation using risk matrices.
• Risk treatment options: avoid, reduce, share, and accept.
• Enterprise risk management (ERM) and emerging risks.
• Risk reporting and communication.

Day 4: Compliance Management and Monitoring

Objectives:
• Design a compliance framework and compliance risk management plan.
• Implement compliance monitoring and testing procedures.
• Manage compliance breaches and whistle-blowing mechanisms.
• Report compliance performance to stakeholders.

Topics:
• Compliance management systems and the compliance function.
• Compliance risk assessment and compliance universe.
• Developing compliance policies, procedures, and standards.
• Compliance monitoring: controls, audits, and testing.
• Managing compliance breaches: investigation and remediation.
• Whistle-blowing and protected disclosures.
• Compliance reporting and dashboarding.
• Technology in compliance: RegTech and GRC software.

Day 5: Integrating GRC and Strategic Alignment

Objectives:
• Integrate governance, risk, and compliance into a cohesive strategy.
• Evaluate the role of internal audit and assurance in GRC.
• Apply GRC in specific contexts such as ESG and third-party risk.
• Develop a GRC implementation roadmap and continuous improvement plan.

Topics:
• GRC maturity models and benchmarking.
• Aligning GRC with organisational strategy and performance.
• Internal audit's role in GRC and the Three Lines of Defence.
• ESG and sustainability: integrating ESG risks and opportunities.
• Third-party risk management and supply chain resilience.
• Data privacy and cyber resilience as GRC components.
• GRC implementation: change management and culture.
• Workshop: Developing a GRC action plan.

Practicals

Overview

The practicals involve applying GRC concepts to real-world scenarios through case studies, risk assessment exercises, and the development of a compliance monitoring plan. Learners will use templates and tools to simulate board reporting and GRC integration, ensuring they can translate theory into practice.

Practical Activities
  • Risk Assessment Simulation — Learners conduct a risk assessment on a provided case study using ISO 31000, producing a risk register and treatment plan. (4h)
  • Compliance Monitoring Plan Development — Using a regulatory requirement, learners design a compliance monitoring plan including control tests and reporting templates. (4h)
  • Board Report Drafting Exercise — Learners prepare a comprehensive GRC board report based on a simulated scenario, integrating governance, risk, and compliance information. (4h)
  • GRC Integration Workshop — In groups, learners develop a GRC implementation plan for a mid-sized company, addressing integration, culture, and technology. (4h)

Summatives

Each delegate is assessed continuously throughout the course via daily exercises, scored practical assignments, and a final summative test at the end.

Practical Assignments — 30%

Practical assignments are observed and scored against a rubric during the practical sessions. Each delegate's practical mark is averaged into a single 100% score and contributes 30% to the final total.

Daily Exercises — 20%

Every training day ends with a multiple-choice exercise scored out of 100%. The scores from each daily exercise are averaged across the duration of the course to produce a Daily Average mark, which contributes 20% to the final total.

Final Test — 50%

On the last day a final summative test is written. It is a multiple-choice paper with multiple-answer questions: each question may have more than one correct option, and a single wrong selection on a question marks the entire question wrong — no partial credit. The final test is scored out of 100% and contributes 50% to the overall mark.

Certificate

Certificate of Completion

Awarded to delegates who achieve an overall mark of 50% or higher on the Final Total (Practicals 30% + Daily Average 20% + Final Test 50%).

  • If you scored under 50% you can sit the final test again at the next scheduled session at no extra cost.
